Terms of Service

These Terms govern your access to and use of websites, chatbots and services operated, designed or delivered by Interact Labs ("Interact Labs", "we").

1. Services

Interact Labs is a software & AI studio. We design and deliver: AI chatbots, WhatsApp Business automations, AI agents and workflow automation, custom software development, web applications and PWAs, enterprise portals and internal dashboards, and ongoing maintenance and support. Specific deliverables, timelines and fees are defined in a separate written proposal or order form.

2. Acceptable use

  • You agree to use our services only for lawful purposes and in line with the policies of any third-party platform we integrate with, including the WhatsApp Business Messaging Policy, the Meta Platform Terms, the Facebook Platform Policies, and any cloud provider terms.
  • You must not use our services to send spam, unsolicited promotional messages, harassing, deceptive or illegal content.
  • You are responsible for obtaining valid user consent before messaging end-users through any channel we deploy on your behalf.
  • You must not use software, AI agents or automations we build for you to take consequential actions on individuals' lives without appropriate human oversight.

3. Customer responsibilities

You are responsible for the accuracy of the content and data you provide, for maintaining your own platform accounts (such as a WhatsApp Business Account, cloud accounts, third-party API accounts), and for ensuring you have the right to use them.

4. AI output

AI-generated responses, summaries, drafts or automated actions may contain inaccuracies. We make reasonable efforts to align outputs with the knowledge base, policies and tools you provide, but we do not warrant that AI output is error-free. You should review outputs before relying on them for critical, financial, legal or medical decisions.

5. Fees & payment

Fees and payment terms are set out in your order form. Pricing is tailored to each project. Third-party platform fees (for example WhatsApp Business API conversation fees, AI model usage, cloud hosting, SMS, payment processing) are billed separately or passed through at cost.

6. Intellectual property

We retain ownership of our pre-existing tools, templates, libraries and frameworks. You retain ownership of your data, content and brand assets. Custom deliverables produced under a paid engagement are licensed or assigned as defined in your order form.

7. Confidentiality

Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms.

8. Service levels & support

Where we operate software, chatbots or AI automations on your behalf, service levels and maintenance terms are defined in the relevant order form. Reasonable best-effort support is provided during business hours unless otherwise agreed.

9. Limitation of liability

To the maximum extent permitted by law, Interact Labs is not liable for indirect, incidental or consequential damages. Our aggregate liability is limited to the fees you paid in the twelve months preceding the claim.

10. Termination

Either party may terminate a service for material breach not cured within thirty days of written notice. Sections that by nature should survive will survive termination.

11. Governing law

These Terms are governed by applicable law as stated in your order form, without regard to conflict-of-laws principles.
